Welcome to modulariscreen.com (hereinafter, including all pages and sub domains thereof, referred to as the "Site", the "Website", or "modularscreen.com"). This document, as modified, constitutes the agreement between Razortooth Design, LLC and users of the Website.

THE BELOW TERMS OF USE INCLUDED IN THIS AGREEMENT ("AGREEMENT") CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS AND OBLIGATIONS.

THE TERMS OF USE AND AGREEMENT MAY BE MODIFIED BY RAZORTOOTH DESIGN, LLC AT ANY TIME, AND YOUR CONTINUED USE OF THE WEBSITE IS SUBJECT TO YOUR AGREEMENT TO THE LATEST VERSION OF THE TERMS OF USE AND AGREEMENT.

Razortooth Design, LLC ("Razortooth", "we", or "us") allows users of modulariscreen.com ("you" or "users") to access and use its website at Modulariscreen.com subject to the following terms of use ("Terms"):

Binding Agreement. By visiting, viewing, accessing, downloading, or using any portion of modulariscreen.com, you signify that you have read, understand and agree to be bound by the Agreement and the Terms. In addition, when you use any current or future Razortooth service or business, you also will be subject to the Terms applicable to such service or business.

Privacy. To understand our practices, please review our Privacy Notice, which also governs your visit to modulariscreen.com.

Changing Agreement and Terms. We reserve the right, at our sole discretion, to change, modify, add, or delete portions of the Agreement and the Terms at any time without further notice. Patents. One or more patents and/or patent applications owned by Razortooth apply to this Website and to the products and services accessible via the Website. The Modulari Screen System is an embodiment of a patent pending invention, presently filed with the United States Patent and Trademark Office under Patent Application: U.S. Patent No. 12/462,499/International Patent No. PCT/US09/04464

Copyrights. All content and original expression on the Website, such as text, graphics, logos, button icons, images, digital downloads, designs, data compilations, and software, is the property of Razortooth or its affiliates, and is protected by United States and international copyright laws. The compilation of all content on this site is the exclusive property of Razortooth and protected by U.S. and international copyright laws. All software used on this site is the property of Razortooth or its software suppliers and protected by United States and international copyright laws.

Trademarks. RAZORTOOTH DESIGN, MODULARI, and other Razortooth graphics, logos, page headers, button icons, scripts, and service names appearing on the Website are trademarks, registered trademarks and/or trade dress of Razortooth in the U.S. and/or other countries. Razortooth's trademarks and trade dress may not be used in connection with any product or service that is not Razortooth's, in any manner that is likely to cause confusion among customers, or in any manner that disparages or discredits Razortooth.

License and Site Access.
a. Razortooth grants you a limited license to access and make personal use of the Website and not to download (other than page caching) or modify the Website, or any portion of it, without first obtaining Razortooth's express, written consent.
b. This license does not include:
i. any resale or commercial use of this site or its contents; any collection and use of any product listings, descriptions, or prices; any derivative of this site or its contents;
ii. any downloading or copying of account information for the benefit of another merchant; or
iii. any use of data mining, robots, or similar data gathering and extraction tools.
c. The Website, including any content on the Website, may not be copied, sold, distributed, publicly displayed, edited, or otherwise exploited for any commercial purpose without the express written consent of Razortooth.
d. You may not frame or utilize framing techniques to enclose any trademark, logo, or other proprietary information (including images, text, page layout, or form) of Razortooth without express written consent.
e. You may not use any meta tags or any other "hidden text" utilizing Razortooth's name or trademarks without the express written consent of Razortooth.
f. Any unauthorized use of the Website terminates the permission or license granted by Razortooth.
g. You are granted a limited, revocable, and nonexclusive right to create a hyperlink to the home page of Modulariscreen.com so long as the link does not portray Razortooth, or its products or services in a false, misleading, derogatory, or otherwise offensive matter.
h. You may not use any Razortooth logo or other proprietary graphic or trademark as part of the link without express written permission.

Your Account. If you use the Website, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. Razortooth does sell products for children, but it sells them to adults, who can purchase with a credit card or other permitted payment method. If you are under 18, you may use Modulariscreen.com only with involvement of a parent or guardian. Razortooth reserves the right to refuse service, terminate accounts, remove or edit content, or cancel orders in their sole discretion.

Purchase of Modulari Screen System. If you should make any purchases of the Modulari Screen System through the Website, your purchase is subject to the following terms:
Razortooth Design reserves all intellectual property rights related to the Modulari Screen System.
Razortooth does not warrant that the items purchased will meet your design requirements or be error-free. If an item purchased by Razortooth through the Website is defective, your sole remedy is to return the unused item to Razortooth for a replacement. Razortooth, in its discretion, may give you a refund instead of a replacement.

Risk of Loss. All items purchased from Razortooth are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.

Product Descriptions. Razortooth attempts to be as accurate as possible. However, Razortooth does not warrant that product descriptions or other content of this site is accurate, complete, reliable, current, or error-free. If a product offered by Razortooth itself is not as described, your sole remedy is to return it in unused condition.

Pricing. With respect to items sold by Razortooth, we cannot confirm the price of an item until you order; however, we do NOT charge your credit card until after your order has entered the shipping process. Despite our best efforts, a small number of the items in our catalog may be mispriced. If an item's correct price is higher than our stated price, we will, at our discretion, either contact you for instructions before shipping or cancel your order and notify you of such cancellation.

Disputes. With respect to any disputes arising out of this Agreement, you submit to the jurisdiction of the courts of the State of New York.

Site Policies, Modification, and Severability. Please review our other policies, such as our pricing policy, posted on this site. These policies also govern your visit to modulariscreen.com. We reserve the right to make changes to our site, policies, and the Terms and Agreement at any time. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining condition.

Other. The failure of Razortooth to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision in that or any other instance. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect. If any provision of these Terms of Use and Agreement shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from the Terms of Use and Agreement and shall not affect the validity and enforceability of any remaining provisions.
